It is expressly agreed between parties:

1. Goods delivered remain our property until full payment of our invoice.
2. Deliveries are at the risk of the recipient.
3. The invoice is payable in cash, without discount, on the due date indicated on the invoice.
4. Invoices not paid by the due date will automatically be increased, without the need for a reminder, by an interest of 1% per month from the date of the invoice.
5. In case of non-payment on the due date, the customer is also obliged to pay a compensation for non-payment amounting to 10% of the invoice amount, with a minimum of €125, apart from the interest compensation as specified in the previous article. It is expressly agreed that this clause is not an application of article 1023 of the Judicial Code, but of article 1226 of the Civil Code.
6. Any complaints must be made immediately and by registered letter, no later than eight days after delivery or receipt of the invoice and also by registered letter.
7. In case the invoice pertains to software developed by the supplier, the customer only acquires a personal, non-exclusive, and non-transferable right of use for an indefinite period of the software. The intellectual property and absolute rights of this software and any modifications and additions made to it always remain with the supplier or its suppliers.
8. Goods, services, or software products delivered by the supplier can never be subject to a claim regarding loss of income.
9. In case of disputes, only the Courts of the district of Tongeren are competent.
